Bylaws

Mission Statement: To support America's military and first responders through a network of Jeep enthusiasts who believe in assisting those who sacrificed for our country and communities.

Article 1, Name and Service Area

The name of the club is: "Treads Of Hope" with the tag line "Middle Fork Jeeps" (TOHMFJ) and serves Vermilion County, IL and surrounding areas.

Article 2, Emblem

The emblem is a spinning tire with treads shown with large letters of the name "Treads Of Hope" across the tire above with "Middle Fork Jeeps" below. The acronym is "TOHMFJ."

Article 3, Identity

The Treads Of Hope Middle Fork Jeeps is nonsectarian, nonpartisan, nonprofit, and will not participate in any political activity. The organization is organized exclusively for charitable purposes under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Article 4, Membership and Participation

Categories are:

  • ACTIVE MEMBER: Must have 50% participation in meetings, committees and activities, which gives voting privileges to that member
  • HONORARY MEMBER: Based on donation, or participation below 50%, welcome at all TOHMFJ club socials and events, but in a non-voting status

Article 5, Donations

Donations may be received from any individual or group that desires to assist in the mission, vision, and activities of the Treads Of Hope Middle Fork Jeeps.

Article 6, Fiscal Responsibility

  1. The fiscal year is correlated with the calendar year
  2. An auditing committee of three members will audit the treasurer's records within 10 days after the close of the treasurer's term of office, and will report the results of the audit to the TOHMFJ at the next meeting

Article 7, Nominations and Elections

  1. The nominating committee will present a slate of one or more nominees for each office, at the November meeting, nominations may also be made from the floor
  2. Only active members, as defined in Article 4, may be nominated for office
  3. Officers will be elected at the January meeting

Article 8, Officers

  1. The officer positions are: President, Vice President, Recording Secretary, Charity Coordinator, and Treasurer
  2. The term of elected office is one year, beginning February 1 until January 31 of the following year
  3. Vacancies in office are handled as follows:
    1. In the event of vacancy of the office of the President, the Vice President will become the President for the unexpired term
    2. Vacancies in offices other than the President will be filled for the unexpired term by appointment decided by the Executive Committee
  4. Members may hold the same office for consecutive terms
  5. TOHMFJ may transition an office holder out of an office position with a majority vote of member attendees at a monthly meeting

Article 9, Duties of Officers

  1. The President is the principal officer of the TOHMFJ club, and duties include:
    • Preside at all meetings of the TOHMFJ club and the Executive Committee
    • Serve as ex-officio member of all committees except the Nominating Committee
    • Initiate Official TOHMFJ club correspondence
    • Break all voting ties
  2. The Vice President duties include:
    • Perform the presidential duties in absence of the President
    • Become President for an unexpired term in the event of a presidential vacancy
    • Secure the meeting venue, confirm menu, report dinner reservation details back to the venue, and receive rsvp's for dinner reservations
    • Job shadows the President, to facilitate the transfer and information and processes
    • Update the membership list and name tags
  3. The Recording Secretary duties include:
    • Take and record minutes of the proceedings of TOHMFJ club meetings, present minutes at meetings, and provide copies to the President
    • Preserve in a permanent file, all records and letters of value to the TOHMFJ club
    • Send out newsletter prior to monthly meetings
  4. The Charity Coordinator duties include:
    • Contacting, organizing committees and working with board and executive members on charitable activities
  5. The Treasurer duties include:
    • Have charge of all the monies of the TOHMFJ club, prepare and deliver reports at monthly meetings, and provide copies to President and Secretary
    • Collect all funds received by the TOHMFJ club, and offer receipt when necessary
    • Pay bills upon authorization of the President
    • Keep an itemized record of all receipts and expenditures in a permanent file
    • Be available during the annual audit
    • Sit on the Budget/Finance committee
  6. Each officer will deliver to their successor immediately after vacating office: all accounts, records, books, papers, and other property belonging to the TOHMFJ club
  7. No officer may nominate themselves for any office

Article 10, Executive Committee

The elected officers of the club constitute the Executive Committee. The Executive Committee meets as needed and reports at the next TOHMFJ club meeting. No member of the committee has more than one vote, and no proxy voting is permitted.

Article 11, Meetings

Regular Meetings are held monthly on the 2nd Sunday of the month, unless otherwise directed by the TOHMFJ club or the executive Committee. The regular January meeting of each year is designated as the Annual Meeting. Active members present with 4/5th of elected officers present constitute a quorum. No member has more than one vote, and voting by proxy is not permitted.

Article 12, Parliamentary Procedure

The rules of parliamentary practice in ROBERT'S RULES OF ORDER, NEWLY REVISED, govern all proceedings of the TOHMFJ club and the Executive Committee, subject to special rules already adopted, or those that may be adopted.

Article 13, Amendments

Amendments to the Bylaws may be proposed to the Executive Committee or the Bylaws Committee by any active member. All proposed amendments will be available to active members via monthly meeting, prior to voting on the amendment by the TOHMFJ club. Bylaws may be amended by majority vote of the active members present at any regular meeting. The Bylaws will be reviewed annually.

Article 14, Dissolution

Upon the dissolution of the Treads Of Hope Middle Fork Jeep (TOHMFJ) club, after paying or making provisions for the payment of all the legal liabilities of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. The organization to receive the assets of the TOHMFJ club hereunder shall be selected by the discretion of the majority of the managing body of the TOHMFJ club. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine which are organized and operated exclusively for such purposes.

Adoption

Treads Of Hope is formed as an Unincorporated Association on this date, January 1, 2026.
